1. Agreement to These Terms
By accessing this website or engaging Paragraphs for any of our services, you confirm that you have read, understood, and agreed to these Terms of Service. If you do not agree, please do not use this website or engage our services.
These terms apply to your use of our website at paragraphs.agency and to any service agreement entered into between you and Paragraphs Writing Agency. Where a separate written client agreement exists, that agreement takes precedence over these terms in the event of any conflict.
Plain version: Using our site or hiring us means you agree to these terms. If we have a separate written agreement for your project, that document governs our working relationship.
2. Our Services
Paragraphs is a strategic writing studio. Our services include, but are not limited to:
- Brand voice development and tone of voice guidelines
- Messaging strategy and brand positioning
- Strategic copywriting for websites, landing pages, and sales materials
- Authority content including thought leadership articles, SEO blog content, and founder storytelling
- Messaging Clarity Sessions — discovery consultations to diagnose messaging challenges and chart a path forward
The specific scope, deliverables, timeline, and fees for any engagement will be agreed upon in writing before work commences. We reserve the right to decline any project at our discretion.
3. Enquiries & Clarity Sessions
Submitting an enquiry through our contact form or booking a Messaging Clarity Session does not constitute a binding agreement to engage our services. It is an expression of interest, and we will follow up to discuss your needs.
A Clarity Session is an initial discovery consultation — typically 45 minutes — at no charge and with no obligation to proceed further. Any information shared during a Clarity Session will be treated with strict confidentiality and not disclosed to third parties.
4. Payment & Fees
Our fees are agreed in writing before any project begins. We do not process payments through this website. All invoicing and payment is handled directly between Paragraphs and the client, outside of this site.
Unless otherwise agreed in your project agreement, the following general terms apply:
- A deposit or partial payment may be required before work commences, as specified in your project agreement
- Invoices are payable within the timeframe specified on the invoice
- Late payments may result in work being paused until payment is received
- Fees are exclusive of any applicable taxes, which are the responsibility of the client
5. Revisions & Deliverables
The number of revisions included in any engagement will be specified in your project agreement. Our general approach is to work collaboratively until the deliverables meet the agreed brief — within reason.
Revisions requested outside the agreed scope, or revisions that constitute a change in the original brief, may be subject to additional fees. We will always notify you before any out-of-scope work is undertaken.
Deliverables will be provided in the formats agreed upon at the start of the project. Paragraphs is not responsible for how delivered content is implemented or published by the client.
6. Cancellations & Refunds
We understand that business circumstances change. Our approach to cancellations and refunds is handled on a case-by-case basis, with fairness as the guiding principle.
- If you wish to cancel a project, please notify us in writing as soon as possible
- Where a deposit has been paid and meaningful work has not yet commenced, a partial or full refund may be issued at our discretion
- Where work is in progress, fees for completed work and reasonable costs incurred to date will be retained
- Completed and delivered work is not eligible for a refund unless there has been a material failure on our part to meet the agreed brief
Any disputes regarding refunds will be handled through good-faith negotiation between both parties before escalating to any formal process.
7. Intellectual Property & Ownership
We are clear about who owns what, because clarity is what we do.
What you own: Upon receipt of full payment, you receive full ownership of all deliverables created specifically for your project — including copy, content, brand voice documents, and messaging frameworks. You are free to use, adapt, publish, and commercialise these materials without restriction.
What we retain: Paragraphs reserves the right to reference your project as part of our portfolio and to use non-confidential aspects of the work (such as describing the type of project or industry) for the purposes of marketing and business development. We will always exercise discretion and, where appropriate, seek your approval before doing so.
Pre-delivery: All work-in-progress materials remain the intellectual property of Paragraphs until full payment has been received.
Third-party content: Any third-party materials incorporated into deliverables (such as licensed stock images or third-party data) remain subject to their original licences. We will flag any such inclusions.
8. Confidentiality
We take the confidentiality of our clients seriously. Any proprietary business information, strategy documents, or sensitive details shared with us in the course of an engagement will not be disclosed to any third party without your consent, except as required by law or as necessary to deliver the project (e.g. a subcontractor bound by the same confidentiality obligations).
If your project requires a formal Non-Disclosure Agreement (NDA), please raise this before work begins and we will arrange one.
9. Client Responsibilities
A successful engagement is a collaborative one. By working with us, you agree to:
- Provide accurate, complete briefing information and respond to reasonable requests for input in a timely manner
- Ensure that any materials you provide to us (brand assets, source content, data) do not infringe on the intellectual property rights of any third party
- Review and provide feedback on deliverables within any agreed timeframes, as delays on your end may affect the project timeline
- Comply with all applicable laws when using the deliverables we provide
10. Limitation of Liability
Paragraphs provides strategic writing and advisory services. While we put significant care and expertise into every engagement, we cannot guarantee specific business outcomes — such as search engine rankings, conversion rates, sales growth, or audience responses — as these depend on many factors outside our control.
To the fullest extent permitted by law, Paragraphs' liability to you in connection with any project or engagement shall not exceed the total fees paid to us for that specific project.
We shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of our services or deliverables, even if we have been advised of the possibility of such damages.
11. Website Use
This website is provided for informational purposes and to facilitate enquiries. You agree not to use it in any way that:
- Is unlawful, fraudulent, or harmful
- Involves transmitting unsolicited communications or malicious software
- Attempts to gain unauthorised access to any part of the site or its underlying systems
- Infringes on the intellectual property rights of Paragraphs or any third party
We reserve the right to restrict access to this website at any time without notice.
12. Changes to These Terms
We may update these Terms of Service from time to time. Changes will be reflected by an updated date at the top of this page. Your continued use of our website or services after any changes constitutes acceptance of the revised terms.
For active client engagements, any material changes to terms that affect your project will be communicated to you directly.
